Terms of Use and Confidentiality Undertaking

1. Who this applies to

These terms are between Waldies Compound Limited (the "Company") and you, the person to whom an account on the Waldies CRM (the "System") has been issued. They apply to every use of the System and to all information in it or taken from it, in any form: on screen, printed, exported, photographed, copied, written down or remembered.

These terms are in addition to your employment contract, appointment letter, channel or service agreement and any other confidentiality undertaking you have given the Company. Where they differ, the stricter obligation applies.

2. Confidential Information

Everything in the System is Confidential Information of the Company, unless the Company has itself made it public. This includes in particular:

Formulations, R&D results and the sales pipeline are among the Company's most valuable trade secrets. Treat them accordingly.

3. Ownership

All Confidential Information, and all work you create in or from the System (entries, results, conclusions, notes and reports), belongs to the Company. Nothing in these terms gives you any right or licence to it.

4. Your confidentiality undertaking

You will use Confidential Information only to do your work for the Company, and only to the extent your role requires.

You will not disclose it to anyone outside the Company (including family, friends, former colleagues, other employers, competitors, customers or channel partners) unless the Company has authorised that disclosure, and then only through the approved route. Within the Company, share it only with people who need it for their work.

You will not copy, photograph, screenshot, record, forward, print or download Confidential Information except as your work requires, and never to personal email, personal cloud storage, messaging apps (including WhatsApp and Telegram), social media or personal devices that the Company has not approved.

You will not enter Confidential Information into public AI tools, translation websites, online converters or any other external service that the Company has not approved.

Information may leave the Company only through the external version of a report, and only with the authorisation the Company requires. Internal reports are never shared outside the Company.

5. How you must handle the System

Your account is personal. Never share your password or sign-in code, never let anyone use the System under your name, and never use anyone else's account.

Sign out when you leave a shared or public computer. Keep the devices you use locked and up to date. Report a lost device or a suspected compromise of your account to the Waldies Desk immediately.

Every print and PDF is recorded in the export log under your name. Keep printed copies secure, do not leave them unattended, and shred them when they are no longer needed.

6. Accuracy of entries

Entries in the System are business records of the Company and may be audited and relied on for decisions, quotations and reports. You will enter information truthfully, precisely and promptly.

Before creating an entry, check that it does not already exist. Do not create duplicates, test entries or fictitious records. Record the true source of every sample and enquiry. Where you made a mistake, correct it through the System or tell the Waldies Desk; do not work around it.

R&D results and conclusions are signed under your name. Sign only results you have obtained or verified.

7. Competitor and third-party material

Samples, specifications and documents received from customers, channel partners or about competitors must have been obtained lawfully and must be handled within any confidentiality terms that came with them. Do not seek or accept information that someone is not entitled to give.

Competitor names and assessments are internal. They must not appear in anything sent outside the Company.

8. Personal data

The System holds personal data of contacts at customers, partners and suppliers. Use it only for the Company's business with them, keep it accurate, and handle it in line with applicable data protection law in India, including the Digital Personal Data Protection Act, 2023, and the Company's policies.

9. Logging and monitoring

The System records sign-ins, the actions you take, the entries you make and change, and every export. You consent to this recording and to the Company reviewing it for security, audit, quality and disciplinary purposes.

10. Duration and leaving

Your obligations begin when you first use the System and continue after your account is closed and after your employment or engagement with the Company ends. For trade secrets, including formulations, they continue for as long as the information remains confidential.

When your work ends, or when the Company asks, you will return or permanently delete any Confidential Information in your possession, in any form, and confirm this in writing if asked.

11. Breach

If you become aware of any actual or possible breach of these terms, by you or anyone else, report it to the Waldies Desk without delay.

A breach may lead to withdrawal of access, disciplinary action up to and including termination, and legal action by the Company, including claims for injunction and damages. The Company may suspend or withdraw access to the System at any time.

12. Governing law

These terms are governed by the laws of India. The courts at Kolkata have exclusive jurisdiction.

13. Acceptance

You accept these terms electronically by ticking the boxes and typing your full name below. Your acceptance is recorded with the date, time, version and your network address, and is a valid electronic record under the Information Technology Act, 2000. You will be asked to sign again whenever the terms change.
